  • Your misrepresentation of authority concerning a property or project; or
  • Your intentional misconduct.

This section does not require a consumer to indemnify Kitchens Unlimited for Kitchens Unlimited’s own negligence or misconduct where such indemnification would be prohibited by law.

37. GOVERNING LAW

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles, except to the extent another jurisdiction’s law must apply and cannot lawfully be waived.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

38. VENUE

Subject to any applicable arbitration agreement in a separate project contract and any nonwaivable consumer rights, disputes arising solely from Website use or these Terms must be brought in a court of competent jurisdiction located in Shelby County, Tennessee.

You and Kitchens Unlimited consent to the personal jurisdiction of those courts.

Nothing in this section prevents either party from seeking temporary or injunctive relief in another jurisdiction when necessary to protect intellectual property, confidential information, security, or legal rights.

39. DISPUTE RESOLUTION BEFORE FILING A CLAIM

Before filing a lawsuit relating solely to the Website or these Terms, the complaining party should provide written notice describing:

A separate signed project agreement may contain dispute-resolution terms applicable to that project. Any such provision will be interpreted and enforced according to its language and applicable law.

Kitchens Unlimited may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, transfer of Website operations, or other business transaction.

49. SEVERABILITY

If any provision is found invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted or modified to reflect its lawful purpose.

The remaining provisions will remain in effect.

50. WAIVER

A failure to enforce a provision is not a waiver of that provision or any other right.

A waiver is effective only when made in writing by an authorized representative.

51. NO THIRD-PARTY BENEFICIARIES

Headings are for convenience and do not limit or alter the meaning of these Terms.

53. INTERPRETATION

Words such as “including” mean “including without limitation.”

References to the singular include the plural where appropriate.

These Terms will not be interpreted against either party solely because one party drafted them.

54. ENTIRE AGREEMENT REGARDING WEBSITE USE

These Terms and the Privacy Policy constitute the entire agreement concerning general Website access and use.

They do not replace a signed proposal, design agreement, construction contract, purchase agreement, change order, warranty, financing agreement, or other project-specific document.
